Introduction
Welcome to the Terms and Conditions of Ninety Days. This document explains the conditions under which the Service may be used and the rights and obligations that apply between the Provider and Users.
These Terms and Conditions apply to the use of the Service, access to Ninety Days and all contractual or other legal relationships between the Provider and Users.
Terms with a specific meaning are explained in the relevant sections of these Terms and Conditions. Users are requested to read this document carefully.
Where Ninety Days has been obtained through the Apple App Store, the User acknowledges that Apple may enforce these Terms and Conditions as a third-party beneficiary. However, the contractual relationship concerning the Products offered exists exclusively between the User and the Provider.
These Terms and Conditions do not create an employment, commercial agency, representation or partnership relationship between the parties.

About Ninety Days
Ninety Days is an application designed to help Users develop and sustainably establish personal habits. The app supports Users in documenting their progress, building routines and consistently pursuing personal goals over longer periods.
The application is intended exclusively for private Users. By using Ninety Days, the User agrees to these Terms and Conditions.
Further information about the processing of personal data can be found in the Privacy Policy.

- Documenting daily and weekly progress.
- Completing 30-, 60- and 90-day challenges.
- Evaluating personal statistics and long-term developments.
- Visualising achievements through awards and annual overviews.
Scope of Ninety Days
Ninety Days includes this website, including all subpages, as well as all other websites through which the Provider makes the Service available.
Ninety Days also includes applications for smartphones, tablets and other compatible devices.

The Ninety Days Service is intended exclusively for Consumers.
Terms of use
Unless expressly stated otherwise, the following provisions apply to all access to and use of Ninety Days.
Additional or special conditions may apply to individual functions or Services. Such conditions will be expressly indicated in the relevant areas.
By using the Service, the User confirms that the following requirements are met:
- The User acts exclusively as a Consumer.
- The User is not located in a country subject to an embargo imposed by the United States or designated by the United States Government as a state sponsor of terrorism.
- The User is not listed on any United States Government list of prohibited or restricted persons or organisations.
Content available through Ninety Days
Unless expressly stated otherwise or apparent from the context, all content made available through Ninety Days is owned by the Provider or its licensors.
The Provider makes reasonable efforts to ensure that content made available through Ninety Days does not infringe applicable laws or third-party rights. However, no complete guarantee can be provided.
Users who believe that any content infringes applicable law or third-party rights are requested to inform the Provider using the contact details stated in these Terms and Conditions. Statutory and other legal remedies remain unaffected.
Rights relating to content available through Ninety Days
All rights relating to the content provided remain with the Provider or its licensors.
Users may use the content only to the extent necessary for the contractual use of the Service or where expressly permitted.
In particular, without the Provider's prior written consent, Users may not reproduce, download, distribute, publish, modify, translate, transmit, sell, license or otherwise commercially exploit any content.
Access to external resources
Through Ninety Days, Users may access content or Services provided by third parties.
The Provider has no control over such external resources and therefore accepts no responsibility for their content, availability or legality.
The use of such services is governed exclusively by the terms of use and privacy policies of the respective third party or, where no such terms exist, by the applicable statutory provisions.
Permitted use
Ninety Days may only be used for its intended purpose and in compliance with these Terms and Conditions and all applicable laws.
Each User is solely responsible for ensuring that their use of Ninety Days does not violate any laws or third-party rights.
The Provider reserves the right to take appropriate measures to protect its legitimate interests. Such measures may include suspending access to Ninety Days, terminating existing contractual relationships or reporting unlawful conduct to the competent authorities where Users have demonstrably or reasonably been suspected of:
- violating these Terms and Conditions or applicable law;
- infringing third-party rights;
- materially prejudicing the legitimate interests of the Provider;
- insulting, harming or otherwise abusing the Provider or third parties.
Software licence
All rights relating to the software and technical solutions on which Ninety Days is based remain exclusively with the Provider or its licensors.
For the duration of use, the Provider grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to use the software to the extent necessary for the intended use of the Service.
The User acquires no rights to the source code. All processes, algorithms, technical concepts and related documentation remain the property of the Provider or its licensors.
All rights of use automatically expire upon termination of the contractual relationship, regardless of the reason for termination.
The software may be installed and used on an unlimited number of compatible devices, provided they meet the customary technical requirements.
The Provider may make updates, bug fixes or further developments available at any time. Installation of such updates may be required for continued use of the Service.
A separate licence may be required for entirely new major versions or releases.
Upon termination of the licence, all copies of the software must be deleted without delay.
API terms of use
Users may access data associated with Ninety Days through the application programming interface provided by the Provider (API).
Any use of the API, including use through third-party applications or Services, is subject to these Terms and Conditions and the additional provisions below.
- The User expressly acknowledges that, to the extent permitted by law, the Provider accepts no liability for damages or losses arising from the use of the API or from third-party applications that access data through the API.
Conditions of sale
Paid Products
Some Products and functions offered through Ninety Days are subject to payment.
Prices, terms and the applicable conditions are displayed before completion of the purchase process. Additional information may be provided within the app or on the corresponding information pages.
Product description
Prices, descriptions and availability of paid Products are displayed within Ninety Days and may be changed at any time.
Images, screenshots and graphical representations are provided for illustrative purposes only and do not constitute a guarantee of specific characteristics.
The relevant characteristics of the selected Product are displayed during the purchase process.
Purchase process
The purchase process includes all steps from selecting a Product to placing the binding order.
The purchase process includes in particular the following steps:
- Selection of the desired Product.
- Review and, where necessary, amendment of the Product selection.
- Placement of a binding order by confirming the purchase.
Submission of the order
A binding contract is concluded when the order is submitted.
The User undertakes to pay the stated purchase price, including all disclosed taxes and fees.
Where personal data or additional information is required to provide the Product, the User undertakes to provide complete and accurate information.
Once the order has been received, the User will receive a confirmation.
Prices
Before the purchase process is completed, all applicable taxes, fees and other costs are displayed.
Unless otherwise indicated, the prices stated within Ninety Days include all legally required taxes and charges.
Payment methods
The payment methods available in each case are displayed during the purchase process.
Individual payment methods may be subject to additional conditions or fees imposed by the relevant payment service provider.
If a payment fails or is rejected by the payment service provider, the Provider is not obliged to make the requested Product available. To the extent permitted by law, the Provider reserves the right to charge the User for reasonable costs or expenses incurred as a result.
The Provider does not process or store complete payment data. Such data is processed exclusively by the relevant payment service provider.
Purchases through app stores
Ninety Days may be obtained through the Apple App Store or other authorised app stores.
Purchases, in-app purchases and subscriptions are processed exclusively through the payment system of the relevant app store.
The terms of use and payment terms of the relevant platform operator also apply.
The Provider receives only the information required to manage purchases, subscriptions and statutory obligations.
Retention of title
To the extent permitted by law, all supplied Products remain the property of the Provider until the purchase price has been paid in full.
Reservation of rights of use
The right to use paid Products arises only once full payment has been received.
Provision of digital content
Digital content is made available within Ninety Days after the purchase process has been successfully completed.
The technical requirements specified by the Provider must be met in order to use the digital content.
Term and termination
Subscriptions
A subscription allows the User ongoing or recurring access to paid functions or Products of Ninety Days for the agreed period.
Information concerning the subscription term, price and included Services is displayed before the relevant purchase is completed.
Free trial period
Where offered, a paid subscription may initially be used as part of a free trial period.
The scope and duration of the trial period are displayed before the trial begins.
Unless the trial is cancelled in time, it will automatically convert into a paid subscription.
Fixed-term subscriptions
Fixed-term subscriptions begin when payment is received.
The User is responsible for keeping payment and account information up to date during the term.
The subscription ends automatically at the end of the agreed term unless an extension has been agreed.
Automatically renewing subscriptions
Automatically renewing subscriptions begin when payment is received.
They automatically renew for the agreed billing period unless cancelled before the next renewal date.
A valid cancellation terminates the subscription at the end of the billing period already paid for.
Cancelling a subscription
Automatically renewing subscriptions may be cancelled at any time before the next renewal date.
Following a valid cancellation, access to the paid functions remains available until the end of the period already paid for.
Cancellation through app stores
Where a subscription has been purchased through an app store, cancellation must be completed through the account management settings of the relevant platform operator.
The Provider cannot cancel subscriptions purchased through an app store on behalf of the User.
Any refunds are governed exclusively by the refund policies of the relevant app store.
Changes to digital Products
The Provider reserves the right to further develop, update or adapt digital Products, functions or content, provided that the contractually agreed performance is not impaired.
Where required by law, Users will be informed of material changes.
Provision of personal data
The provision of personal data may be required for individual Products or functions.
Details concerning the processing of personal data can be found in the Ninety Days Privacy Policy.
User rights
Right of withdrawal
Where provided by law, Consumers have a right of withdrawal under the applicable consumer protection legislation.
The requirements, time limits and legal consequences of withdrawal are governed by the relevant statutory provisions.
Loss of the right of withdrawal
In the case of digital content, the right of withdrawal may expire early where the User expressly requests that the Provider begin performance before expiry of the withdrawal period and simultaneously confirms awareness that this will result in the loss of the right of withdrawal.
This applies only to the extent permitted by law.
Statutory warranty
Statutory warranty in the European Union
Consumers habitually resident within the European Economic Area benefit from the applicable statutory warranty rights relating to digital Products.
Statutory warranty in the United Kingdom
Consumers habitually resident in the United Kingdom benefit from the statutory consumer rights available under United Kingdom law.
Statutory warranty in Brazil
Consumers habitually resident in Brazil benefit from the mandatory statutory warranty rights provided by Brazilian consumer law.
Statutory warranty in Switzerland
Consumers habitually resident in Switzerland benefit from the mandatory warranty provisions of Swiss law.
Liability and indemnification
Indemnification
To the extent permitted by law, the User agrees to indemnify and hold harmless the Provider, its affiliated companies, legal representatives, employees, agents and partners from and against all claims, damages, losses, costs and expenses, including reasonable legal fees, arising from the User's violation of these Terms and Conditions, applicable law or third-party rights.
Limitation of liability
To the extent permitted by law, the Provider is liable only for damage caused intentionally or through gross negligence.
In the event of a slightly negligent breach of a material contractual obligation, liability is limited to the damage that is typical for the contract and reasonably foreseeable.
The above limitations of liability do not apply to damage arising from injury to life, body or health or in any case where liability may not be excluded or limited under mandatory law.
Liability for technical availability
The Provider endeavours to make Ninety Days available with as few interruptions as possible.
Temporary restrictions or outages may occur, in particular due to maintenance, technical faults, security measures or other circumstances beyond the Provider's control. To the extent permitted by law, such restrictions do not give rise to a claim for damages.
Liability for content
The content provided through Ninety Days is intended exclusively for personal organisation, motivation and self-reflection.
In particular, it does not constitute medical, psychological, therapeutic, legal or tax advice and does not replace professional advice or treatment.
Liability relating to the API
Use of the API and the connection of third-party applications is undertaken at the User's own risk.
To the extent permitted by law, the Provider is not liable for damage or data loss caused by third-party applications, defective API implementations or the use of external Services.
General provisions
No waiver
Failure by the Provider to assert or enforce any right or provision of these Terms and Conditions does not constitute a waiver of that right or provision.
Interruption of the Service
The Provider may temporarily suspend the Service where this is necessary for maintenance, system updates, security measures or other technical reasons.
Where possible, planned interruptions will be announced to Users in advance.
Resale of the Service
Users may not reproduce, sell, resell, license or otherwise commercially exploit Ninety Days or any individual component of the Service without the Provider's prior written consent.
Privacy Policy
Information concerning the processing of personal data can be found in the Ninety Days Privacy Policy. The Privacy Policy supplements these Terms and Conditions.
Intellectual property rights
All trademarks, logos, graphics, texts, databases, software components and other content forming part of Ninety Days are protected by copyright and other intellectual property rights.
Any use beyond the contractual use of the Service requires the Provider's prior written consent.
Changes to these Terms and Conditions
The Provider reserves the right to amend these Terms and Conditions at any time.
Changes will be communicated in an appropriate manner. Where required by law, Users will be informed of material changes.
Assignment
The Provider may transfer rights and obligations under these Terms and Conditions to third parties in accordance with applicable law.
The User may transfer rights or obligations arising from this contractual relationship only with the Provider's prior written consent.

Questions or communications relating to Ninety Days may be sent to the Provider using the contact details stated in these Terms and Conditions.
Severability
If any provision of these Terms and Conditions is or becomes wholly or partly invalid or unenforceable, the validity of the remaining provisions remains unaffected.
For Users within the European Union
The invalid or unenforceable provision will be deemed replaced by a valid provision that comes as close as possible to the economic purpose of the original provision.
Governing law and jurisdiction
Governing law
These Terms and Conditions are governed by the law of the country in which the Provider has its registered office, excluding its conflict-of-law rules.
The Provider's address is stated in these Terms and Conditions.
Precedence of mandatory consumer protection provisions
Where the law of the country in which the User is habitually resident provides a higher level of consumer protection, those mandatory provisions remain unaffected.
Special provisions for Consumers in Switzerland
Where the User is habitually resident in Switzerland and acts as a Consumer, Swiss law applies.
Special provisions for Consumers in Brazil
Where the User acts as a Consumer in Brazil and the Product or Service is offered in Brazil, Brazilian law applies.
Jurisdiction
As a general rule, the courts at the Provider's registered office have jurisdiction over all disputes arising from or relating to these Terms and Conditions.
Consumers in Europe
This jurisdiction clause does not apply to Users acting as Consumers within the European Union. The same applies to Consumers habitually resident in the United Kingdom, Switzerland, Norway or Iceland where mandatory statutory provisions provide otherwise.
Consumers in Brazil
The jurisdiction clause above does not apply to Consumers habitually resident in Brazil.
Consumers generally
Mandatory statutory provisions concerning jurisdiction for the protection of Consumers remain unaffected.
Consumers in the United Kingdom
Consumers habitually resident in England or Wales may bring proceedings before the courts of England and Wales.
Consumers habitually resident in Scotland may bring proceedings before the courts of Scotland or England.
Consumers habitually resident in Northern Ireland may bring proceedings before the courts of Northern Ireland or England.
Dispute resolution
Out-of-court dispute resolution
Users may contact the Provider at any time in the event of questions, complaints or disagreements.
The Provider will make reasonable efforts to resolve disputes amicably and outside the courts.
Definitions and legal references
Ninety Days
Ninety Days means the website, mobile application and all Services and functions made available through them.
API
API means the application programming interface provided by Ninety Days through which Users or authorised third-party applications may access certain data.
Contract
Contract means any legally binding relationship between the Provider and the User governed by these Terms and Conditions.
Provider
Provider means the natural or legal person that makes Ninety Days available.
Service
Service means all functions and Services offered through Ninety Days.
Product
Product means all free or paid digital content and Services offered through Ninety Days.
Digital Product
Digital Product means all digital content or digital Services made available to Users through Ninety Days.
User
User means any natural person who uses Ninety Days.
Consumer
Consumer means any natural person who acts mainly for purposes that cannot be attributed to their commercial or self-employed professional activity.
Europe
Unless expressly stated otherwise, Europe includes all Member States of the European Union and the European Economic Area (EEA).
Switzerland
Switzerland means the Swiss Confederation.
Brazil
Brazil means the Federative Republic of Brazil.
United Kingdom
United Kingdom means England, Wales, Scotland and Northern Ireland.
